Scope of Application

Demonstration versions of LAUYAN SOFTWARE products are available for download on the internet at www.lauyan.com ("Website"). Before using a LAUYAN SOFTWARE product for the first time, the user accepts the terms of the LAUYAN SOFTWARE End-User License Agreement (EULA) preceding its installation.

These Terms & Conditions of Sales constitute the agreement between LAUYAN SOFTWARE ("We") and anyone considering or making a purchase (the "Customer" or "You") of the registration numbers required to unlock the demonstration versions of LAUYAN SOTWARE products. These Terms & Conditions of Sales may be modified at any time, the applicable conditions are those published on the Website at the date of purchase.

Pricing

Prices quoted on our Web site are valid at the time of ordering. They are indicated and invoiced in Euros. The VAT is included in our prices and our VAT number is FR24482806155

Payment

We accept payment with Visa and MasterCard cards. The online payment is made on the secured server of our bank, Credit Mutuel which guaranties the total security and confidentiality of your transaction. Delivery

We deliver a license number and an invoice by email against advance payment by credit card. No CD-ROM or packaged version of the software will be send by postal mail. Once the payment is received and accepted, the Customer receives its registration number along with the invoice to the e-mail address indicated at the time of purchase. If no registration number is received within 48 hours (for instance due to mistake in the email address), the Customer shall contact LAUYAN SOFTWARE by e-mail at order@lauyan.com with a valid email mentioning his/her last name, first name, date of purchase and if possible the order number.
To prevent possible lost of data information, we advise our Customers to print their license number and invoice upon their receipt.

Restitution Right

The right of restitution does not apply in the event of the sale of serial numbers or activation keys required to fully use the demo-versions of the software. Given the intangible nature of the service whose implementation began with the consent of the Customer before the end of the refund period, the Customer acknowledges and agrees that the right of refund within 14 days upon delivery of products / services provided can not be exercised by him/her in accordance with the provisions of Articles L. 121-20-2 of the French Consumer Code. Buying a license number is firm and final and shall not give rise to any refund or exchange.

The current and relevant information regarding the purpose, type and scope of the collection, processing and use of personal data can be found at any time in our privacy statement.

Your Obligations

You commit yourself to:
  • Provide reliable information about yourself
  • Agree with these Terms & Conditions of Sales
  • Respect the terms of the LAUYAN SOFTWARE End-User License Agreement attached to the product
It is your responsibility to ensure that you have carefully checked the details of your Order before proceeding to the payment. By proceeding to the payment you become liable to pay the price of the software license indicated on our Web site at the time of your order. Any non respect to your obligations may result in the permanent lost of your rights to use the delivered license(s) from LAUYAN SOFTWARE, including services coming with the licence(s).

Limitation of Liability

Although We try to correct all errors or omissions as soon as possible once they have been brought to Our attention, We do not guarantee that Our software will be available and in a fully operating condition nor that the information provided by LAUYAN SOFTWARE will be free of errors or omissions. The LAUYAN SOFTWARE company cannot be held responsible for any complaints and/or any proceedings regarding the usage of the LAUYAN SOFTWARE products. The customer must protect himself from the loss of data. Because a new installation or a modified installation of the software might create a risk of loss of data, the customer must secure the date by all means available.

Communication

As far as the contracting partners communicate by Email or through our Web site, they acknowledge the unlimited value of the declaration of intention, transmitted by these means, in accordance with the following regulations. In an Email or through our Website, normal statements cannot be suppressed or modified to make them anonymous. The statements must indicate the Email addresses of the senders, the dates and hours of dispatch and, at their end, a repetition of the senders' names. An Email received in accordance with these regulations will be considered as being sent by the other partner provided that no proof to the contrary is furnished. All messages transmitted to LAUYAN SOFTWARE must be written in English or in French.

Cession of Claims

The customer is not allowed to assign or transfer rights and obligations arising from this contract

Validation

You acknowledge that you read and accepted the order conditions, the information about the characteristics of the products or services ordered, the price, delivery, the conditions of use of the license as well as the General sales conditions before placing your order. The contract is created once the customer filled in and confirmed the form on the Website and once the LAUYAN SOFTWARE acknowledged and proceeded with the order. Data stored by the LAUYAN SOFTWARE company are the proof of all transactions between the company and its customers.

Commercial and Legal Domicile

Commercial domicile for the performance of the contracting parties is the registered seat of LAUYAN SOFTWARE, Rambouillet, France. The legal domicile is agreed to be the court competent for the place of performance, if the customer is a tradesman, a legal person or special institution by public law or if he does not have a general venue in France. The contracting parties agree, that all legal relations of this contract now and after fulfillment of the contract shall be construed and enforced in accordance with French law.
